1. General

1.1. These General Terms and Conditions apply to all quotations, offers, assignments and agreements between IBBIBLingua (hereinafter: the Translator) and the Client, unless expressly agreed otherwise in writing.

1.2. The applicability of any general terms and conditions of the Client is expressly rejected.

2. Quotations and Formation of the Contract

2.1. All quotations are without obligation unless otherwise stated.

2.2. A contract is formed when the Client accepts a quotation or confirms an assignment in writing (including email).

2.3. If the Client does not accept the quotation within 14 days, the quotation lapses automatically.

3. Alteration and Cancellation of Commission

3.1. If the Client wishes to alter or cancel an assignment after its acceptance, the Client shall be liable for all costs incurred up to that point.

3.2. In case of cancellation, the following cancellation fees apply:
• More than 48 hours before deadline: 25% of total quote
• Less than 48 hours before deadline: 50% of total quote
• Less than 24 hours before deadline: 100% of total quote

4. Execution of Assignments and Confidentiality

4.1. The Translator shall carry out the work to the best of their ability and in accordance with the requirements of good craftsmanship.

4.2. The Translator undertakes to maintain strict confidentiality regarding all information received from the Client.

4.3. The Translator may engage third parties for the execution of an assignment only with the prior consent of the Client.

5. Term and Time of Delivery

5.1. Delivery deadlines are always indicative unless expressly agreed otherwise in writing.

5.2. The Translator shall inform the Client as soon as possible if a deadline cannot be met.

5.3. Rush service is available at an additional cost of 50% of the standard rate.

6. Fee and Payment

6.1. Unless otherwise agreed, invoices shall be paid within 14 days of the invoice date.

6.2. Payment can be made by bank transfer or PayPal.

6.3. In case of late payment, the Translator is entitled to charge statutory interest.

6.4. All prices are exclusive of VAT unless otherwise stated.

7. Complaints and Disputes

7.1. Complaints regarding the delivered translation must be submitted in writing within 14 days of delivery.

7.2. The Translator shall be given the opportunity to inspect the translation and, if necessary, make corrections.

7.3. Complaints do not suspend the Client's payment obligations.

8. Liability and Indemnity

8.1. The Translator's liability is limited to the amount of the fee charged for the assignment in question.

8.2. The Translator is not liable for any indirect or consequential damages.

8.3. The Client indemnifies the Translator against all third-party claims related to the use of the translation.

9. Dissolution and Force Majeure

9.1. In case of force majeure, the Translator is entitled to suspend or terminate the agreement without any obligation to pay compensation.

9.2. Force majeure includes, but is not limited to: illness, equipment failure, internet outages, and other circumstances beyond the Translator's control.

10. Copyright

10.1. The copyright of the translation transfers to the Client upon full payment of the invoice.

10.2. The Translator retains the right to use the translation for their own promotional purposes, unless confidentiality has been agreed.

11. Governing Law

11.1. These General Terms and Conditions and all agreements between the Translator and the Client are governed by Dutch law.

11.2. Any disputes shall be submitted to the competent court in the Netherlands.
